Terms of Service

These Terms of Service ("Terms") are a binding agreement between Dive Connect, LLC, a Florida limited liability company located at 7901 4th St N Ste 27295, St Petersburg, FL 33702, USA ("DiveConnect," "we," "us," or "our"), and the business or organization that registers for or uses DiveConnect.ai ("you," "your," the "Customer," or the "Shop"). They govern your access to and use of our dashboard, hosted website and storefront, booking and operations tools, AI features (including the AI crew, AI phone and messaging front desk, and live translation), phone, messaging, domain, and email services, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

DiveConnect.ai is a business-to-business software product for dive shops, operators, instructors, and related businesses. It is separate from our consumer marketplace at Diveconnect.io, which has its own terms, including a Provider & Operator Agreement for businesses that list there.

1. Who May Use the Service

• You must be at least 18 years old and able to form a binding contract.
• If you use the Service on behalf of a business or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.
• You are responsible for all activity under your account and for your team members' use of the Service.

2. The Service

The Service is software we provide to help you run and market your dive business. Depending on your plan, it may include a management dashboard, a hosted website and storefront, booking and trip management, retail and rental tools, customer and content management, AI-assisted content generation, an AI crew of assistants, an AI phone and messaging front desk, live translation, and bundled phone, domain, and email services. We may add, change, or remove features over time. We provide the software; we do not operate your dive business, deliver your in-water services, or act as a party to the transactions between you and your customers.

3. Accounts & Organizations

• You must provide accurate registration information and keep it current.
• You are responsible for safeguarding your credentials and for any activity that occurs under your account. Notify us promptly at support@diveconnect.ai of any unauthorized use.
• An organization owner may invite team members and control their access. The organization is responsible for its team members' compliance with these Terms.

4. Subscriptions, Credits, Fees & Billing

Paid features are offered on the Solo, Crew, and Fleet subscription plans, and on Enterprise under a signed order form. Plan prices, AI credits, team seats, the free trial, add-ons, white-label, API access, support, renewals, cancellation, suspension for non-payment, and refunds are described in our Subscription & Refund Terms, which are part of these Terms. Dive Connect, LLC is the seller of your subscription; payments are processed by Stripe. Fees exclude taxes, which are calculated and added at checkout.

No commission on your direct sales. Our fee is your subscription (plus any add-ons or credits you buy). We do not take a commission, application fee, or percentage of the revenue you earn from your own customers through your DiveConnect website, storefront, invoices, or point of sale. You keep 100% of those sales, net of the payment processor's own fees. Bookings you receive through the Diveconnect.io marketplace are subject to the fees in that marketplace's Provider & Operator Agreement.

5. Payments to You — You Are the Merchant of Record

To accept card payments from your customers, you connect your own Stripe account (Stripe Connect). You can also record payments you collect yourself, such as cash or bank transfer. For every sale you make through the Service:

• You are the Merchant of Record. Card charges are made as Stripe direct charges on your connected account, and funds settle to you. You set your prices, terms, and refund and cancellation policies.
• You are responsible for delivering the goods and services you sell, for customer service and disputes, and for any chargebacks, refunds, and reversals on your sales.
• Departures you cancel are refunded in full. When you cancel a departure with the Service's departure-change tool (for example for weather or operational reasons), each booking's card payment made through the Service's single-booking checkout is refunded to your customer in full, automatically, from your connected account. Any other payment, such as cash at your counter or a payment the Service shows it could not refund automatically, is yours to refund.
• You are responsible for determining, collecting, and remitting any sales tax, VAT, or other taxes due on your sales, and for your own regulatory, licensing, and insurance obligations.
• DiveConnect is not a party to the contract between you and your customer, is not the seller or merchant of record, and does not hold your funds. Your use of Stripe is subject to the Stripe Connected Account Agreement.

6. Your Content & Your Customer Data

You retain all rights to the content you upload or generate and to the records you keep about your own customers ("Customer Data"), including the calls, messages, and bookings our AI front desk handles for you. You grant us a worldwide, non-exclusive license to host, store, process, reproduce, and display that content solely to operate and improve the Service and to provide it to you.

Where Customer Data includes personal data of your customers, you are the controller of that data and we act as your processor. Our handling of that data is governed by our Data Processing Addendum. You are responsible for having a lawful basis and your own privacy notice for the individuals whose data you enter or whose calls and messages the Service handles. Our own use of personal data is described in our Privacy Policy.

7. AI Features

The Service includes AI features that generate text, images, audio, and video, answer phone calls and messages on your behalf, and translate conversations. Your use of those features is subject to our AI & Content Terms. AI output can be inaccurate and is provided "as is"; you are responsible for reviewing it and for what your AI assistants say on your behalf, and it is not professional, medical, legal, financial, or dive-safety advice.

8. Phone, Messaging, Recording & Marketing Rules

Phone lines, call answering, call recording, text messaging, and WhatsApp are subject to our WhatsApp Commerce & Telecom Terms, including the AI and call-recording disclosure rules and your obligations as the sender of record for messages (consent, opt-out, and quiet hours). Domains you register through us are subject to our Domain Registration Agreement.

Texts to your customers. Booking texts sent through the Service (booking confirmations, reminders, payment and waiver links, and replies to your customers' messages) go only to people who gave their number and agreed to receive them; the Service shows the opt-in wording next to every phone field on your website and in your chat, and your phone assistant asks before texting. Message frequency varies. Msg & data rates may apply. Recipients can reply STOP to opt out or HELP for help, and texting is never a condition of booking. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes; text messaging originator opt-in data and consent will not be shared with any third parties. 9. Acceptable Use

You must use the Service in compliance with our Acceptable Use Policy and all applicable laws and third-party platform policies. We may suspend or terminate access for violations, abuse, or conduct that risks harm to the Service, other users, or third parties.

10. Intellectual Property

The Service, including our software, design system, templates, and trademarks, is owned by Dive Connect, LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes. All rights not expressly granted are reserved. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction.

11. Third-Party Services

The Service relies on and integrates third-party services (for example Stripe for payments, telecom and messaging providers, Meta for WhatsApp, and the AI providers listed in our Privacy Policy). Those services are governed by their own terms and privacy policies, and we are not responsible for them. Your relationship with a third-party provider you connect is between you and that provider.

12. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that calls or messages will always be answered or delivered, or that AI output will be accurate or fit for your purposes.

13. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You will defend, indemnify, and hold harmless Dive Connect, LLC and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your content, listings, and Customer Data; (b) your sale and delivery of goods and services to your customers; (c) calls, messages, and recordings made by or for you through the Service, including any failure to obtain consent or give a required disclosure; (d) your use of the Service in violation of these Terms or applicable law; and (e) your tax, licensing, insurance, and regulatory obligations.

15. Term, Termination & Account Deletion

These Terms apply while you use the Service. You may cancel your subscription at any time as described in the Subscription & Refund Terms, and you may delete your account as described on our Data Deletion page. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm. On termination, your right to use the Service ends and your data is handled as described in the Data Processing Addendum, subject to legal retention obligations.

16. Changes to the Service or These Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will post the updated version here, revise the "Last Updated" date, and notify you by email or in the dashboard at least 30 days before they take effect, except where a change is required by law or addresses a security risk. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute that is not resolved informally will be resolved by binding arbitration seated in Tampa, Florida, United States, except that either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information. You and DiveConnect agree to resolve disputes on an individual basis and waive any right to participate in a class or representative action.
