WhatsApp Commerce & Telecom Terms

These WhatsApp Commerce & Telecom Terms ("Telecom Terms") govern the WhatsApp Business messaging, phone numbers, and related telecom services you enable through DiveConnect.ai ("DiveConnect", "we", "us"). They supplement our Terms of Service, Privacy Policy, and Acceptable Use Policy. By connecting a WhatsApp Business account, renting or porting a phone number, or sending messages through your dashboard, you (the "Shop") agree to these Telecom Terms.
1. Our Role & the Underlying Providers
DiveConnect is a facilitator and reseller, not a telecommunications carrier and not Meta. WhatsApp Business messaging is provided through Meta Platforms, Inc. and our messaging provider acting as a Business Solution Provider ("BSP"); phone numbers are provisioned, ported, and carried by our telecom provider and the underlying carriers. Your use is therefore also subject to Meta's and those providers' terms, which are incorporated into these Telecom Terms by reference. Where these Telecom Terms conflict with Meta's terms, a carrier's requirements, or applicable law, those controlling terms and the law govern.
2. WhatsApp Business & Commerce Policy
You must comply at all times with Meta's WhatsApp Business Messaging Policy and WhatsApp Commerce Policy, which restrict the goods and services that may be promoted or sold over WhatsApp and prohibit abusive messaging. You are solely responsible for the content of your messages, catalogs, and message templates. Meta may review, restrict, suspend, or ban a business account, template, or number for a policy violation — actions taken by Meta that are outside our control.
3. Meta Client Terms & Your WhatsApp Business Account
To use WhatsApp Business you must accept and remain bound by Meta's WhatsApp Business Solution Terms and the applicable Meta Client Terms. Through Meta's Embedded Signup you create or connect your own WhatsApp Business Account ("WABA"); you are the owner of that WABA and its assets (phone numbers, display name, templates). We access it only as your BSP, to send and receive messages on your behalf and at your direction.
4. Meta Messaging Fees Bill to Your Own Account
WhatsApp messaging carries Meta's own conversation-based and per-message fees (for marketing, utility, authentication, and service messages and templates), set by Meta under its pricing model.
These Meta fees bill directly to your own WhatsApp Business Account, through the payment method you attach to your WABA. They are not charged, collected, or marked up by DiveConnect, and they are not part of your DiveConnect subscription. You must add and maintain a valid payment method on your WABA; if you do not, Meta may pause your messaging. Meta sets and may change its conversation pricing at any time, and you are responsible for those charges regardless of any estimate shown in your dashboard.
5. Phone Numbers, KYC & Verification
Provisioning a new number, and enabling WhatsApp on any number, requires identity and business verification ("KYC") imposed by Meta and the carriers, and may require display-name approval by Meta. You warrant that the registrant, business, and contact details you provide are accurate and current. Verification and provisioning can take several business days in some countries (for example, Indonesia). Number availability is not guaranteed, and we may decline or suspend a number where KYC cannot be completed or where required by a provider, Meta, or law.
6. Number Portability & Transfers (LOA)
Porting a number in: to transfer an existing number to us you must be the authorized account holder for that number and provide a Letter of Authorization ("LOA") and a recent carrier invoice. You authorize us and our carrier to submit the port request on your behalf. The losing carrier may reject or delay a port, and a number generally keeps working on its current carrier until the port completes. You warrant that you are entitled to port the number and that porting it does not breach any agreement you have with your current carrier.
Porting a number away / leaving: you may transfer an eligible number to another provider subject to carrier requirements. Contact us at admin@diveconnect.io to begin a transfer-out. We will not unreasonably withhold a valid port-out.
7. Coexistence (Keeping Your Existing Number)
You may connect WhatsApp using your existing phone number("coexistence") without renting a new number from us. In that case there is no DiveConnect number-rental charge, you remain the owner of the number, and you stay responsible for your relationship with its underlying carrier. Meta's messaging fees in Section 4 still apply.
8. Telecom & Messaging Acceptable Use
You are the sender of record for every message you send, and you are responsible for having a lawful basis to contact each recipient. You must:
- only message people who have opted in or otherwise consented as required by law (including the U.S. Telephone Consumer Protection Act (TCPA) and equivalent local rules);
- promptly honor opt-out and STOP requests and stop messaging a recipient who has opted out;
- respect WhatsApp's 24-hour customer service window — outside that window you may send only Meta-approved message templates;
- not send spam, unlawful, deceptive, or prohibited content, and not impersonate another person or business; and
- comply with all applicable telecom, consumer-protection, marketing, and privacy laws in every jurisdiction in which you and your recipients are located.
9. Compliance Acceptance & Records
Before you can enable WhatsApp or number features, you must accept these Telecom Terms. We record your acceptance — the accepting user, the timestamp, the policy version, and your IP address — as a compliance record, and we may require re-acceptance when we materially update these Telecom Terms. Your acceptance data is handled as described in our Privacy Policy.
10. Quality, Suspension & Termination
Meta assigns your number a quality rating and messaging limits; a low rating or a policy violation can throttle, restrict, or disable your number, and we, Meta, or a carrier may suspend service for abuse, non-payment (of Meta fees or of a DiveConnect number rental), a legal or regulatory requirement, or a policy breach. On termination or non-payment, a number rented from us may be released and returned to the carrier, while a coexistence or previously ported number reverts to your control where the carrier permits.
11. Fees, Rental & Refunds
Number rental is a recurring charge and a number transfer-in carries a one-time port fee, each charged through our billing provider (which may act as merchant of record and add applicable tax). These DiveConnect charges are separate from Meta's messaging fees described in Section 4. Once a number has been provisioned or a port has been submitted, the corresponding rental or port fee is non-refundable, because the underlying carrier charge is non-recoverable. Prices may change; the price shown at checkout is the price that applies to that order.
12. Changes to These Terms
We may update these Telecom Terms; we will post the updated version here and revise the "Last Updated" date, and may require you to re-accept them. Continued use of WhatsApp or number services after a change takes effect constitutes acceptance. Nothing here limits your rights or obligations under Meta's terms, a carrier's terms, or applicable law.
